Agreement & Understanding *

I am confirming that I understand the vendor application process and agree to the terms and conditions in this Vendor Application. Further, I understand that any violation of such may result in loss of Clermont Main Street vending privileges.

VENDOR APPLICATION PROCESS

1. By submitting this application, the Vendor acknowledges that the application submission to Clermont Main Street DOES NOT reserve event space and DOES NOT guarantee space availability. Space is limited by product category and event type.
2. Once an application is submitted, a review and approval will be made solely by and at the discretion of Clermont Main Street. There is no appeals process for decisions made by Clermont Main Street.
3. Clermont Main Street may deny any vendor that does not meet the needs or quality standards of the event. This is enforced on a case-by-case basis.
4. Clermont Main Street is able to cancel or modify this agreement at any time.
5. Clermont Main Street is able to cancel or modify this agreement at any time.
6. The Vendor acknowledges that Clermont Main Street event policies and procedures may be amended from time to time in writing and agrees to abide by the terms of such amendments.

Terms & Conditions *

I am confirming that I have read the Terms and Conditions described above and I understand them. Further, I understand that any violation of such Terms & Conditions may result in the loss of the applicant’s vending privileges at Clermont Main Street events without the right to appeal such decision.

TERMS & CONDITIONS

1. Vendor shall indemnify and hold harmless: Clermont Main Street, its staff, its Board of Directors, the City of Clermont, Ground Lessor, and employees of and the Event Manager, from and against any and all liability, claims, demands, damages, expenses, fees, fines, penalties, suits, proceedings, actions and costs of actions, including attorney’s fees for trial and on appeal, of any kind or nature arising out of or in any way connected with this Contract or Vendor’s use of the space(s), sale of goods or conduct of business by Vendor, its agents, servants, employees, customers, patrons or invitees or any act or omission of Vendor, its agents, servants, employees, customers, patrons or invitees.
2. Vendor is responsible for all monies collected from the sale of Vendor’s goods plus collecting and reporting of sales tax. Clermont Main Street and the Event Manager are in no way responsible for any vendor sales tax, lost, or stolen monies or items.
3. Vendor assumes all costs arising from the use of patented, trademarked, or copyrighted materials, equipment, devices, processes, or dramatic rights used on or incorporated in the conduct of any Vendor activity at or related to its operations at Clermont Main Street events; and Vendor agrees to indemnify and hold harmless the City of Clermont, Clermont Main Street, its staff and Board of Directors, Ground Lessor, employees, and the Event Manager from all damages, costs and expenses in law or equity for or on account of any patented, trademarked, or copyrighted materials, equipment, devices, processes, or dramatic rights furnished or used by Vendor in connection with this Agreement and will defend Clermont Main Street, its Board of Directors, Ground Lessor, employees, and Event Manager from any such suit or action, regardless of whether it be groundless or fraudulent.
4. This Agreement has been entered into in Lake County, Florida and shall be construed in accordance with the laws of Florida, with venue for any action arising from this Agreement in Lake County, Florida.
5. The Vendor's signature on this application indicates that Vendor has carefully read and understands all of the above terms and requirements and the attached Clermont Main Street Policies and Procedures, and that any violation of such may result in loss of participation privileges at Clermont Main Street events.

Vendor Agreement & Acceptance of All Policies *

I am confirming that this application is true and complete to the best of my knowledge and ability. I understand the vendor application process and I agree to abide by the policies, procedures, terms, and conditions described in this document. Finally, I understand that any violation of the Terms, Conditions, Policies, and/or Procedures may result in the loss of Clermont Main Street Farmers Market vending privileges without the right to appeal the decision.
