Vendor shall indemnify and hold harmless: Clermont Main Street, its staff, its Board of Directors, the City of Clermont, Ground Lessor, employees, and event managers from any and all liability, claims, damages, or actions (including attorney’s fees) arising out of or connected with the vendor’s participation in Clermont Main Street events.
Vendor is solely responsible for all monies collected from sales, plus the collection and reporting of sales tax. Clermont Main Street is not responsible for any lost or stolen items, inventory, or funds.
Vendor assumes full responsibility for the use of any patented, trademarked, or copyrighted materials and agrees to indemnify and defend Clermont Main Street and affiliates against any related legal claims.
This agreement shall be governed by Florida law, and any legal action must be brought in Lake County, Florida.
Vendor acknowledges that submission of this application confirms they have read and understood all terms and agree to comply with current and future Clermont Main Street policies and procedures. Violation may result in the loss of future event participation.
